Panorama provides accounting, bookkeeping, tax preparation and compliance, and business-formation services for founders, businesses, and individuals. The specific scope, deliverables, and fees for your engagement will be described in a separate engagement letter, proposal, or order that, together with these Terms, governs our relationship. If there is a conflict, the engagement letter controls for that engagement.

Our services are professional accounting, tax, and compliance services. They do not constitute legal advice or investment advice. While we exercise professional care, we do not guarantee any particular financial, tax, or regulatory outcome, including the acceptance of any filing or the avoidance of any penalty, audit, or liability.

Some services require a client portal account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Authentication may be handled through a third-party identity provider. You agree to:

• —Provide accurate and complete registration information and keep it up to date.
• —Keep your login credentials secure and not share them with unauthorized persons.
• —Notify us promptly of any unauthorized access to or use of your account.

Fees for our services are set out in your engagement letter or applicable order. Government and state filing fees, third-party costs, and similar charges may be billed separately at cost. Unless otherwise stated, invoices are due upon receipt, and we may suspend services for past-due amounts. Fees are non-refundable except as expressly provided in your engagement.

The quality and timeliness of our work depend on the information you provide. You agree to provide accurate, complete, and timely records and to respond to our requests for information. You are responsible for the accuracy of the data you submit and for reviewing deliverables before they are filed or relied upon. We are not liable for consequences arising from inaccurate, incomplete, or late information.

We treat the non-public information you share with us as confidential and use it only to perform our services, except as required to comply with law or as otherwise described in our Privacy Policy. Each party agrees to protect the other’s confidential information using reasonable care.

The website, its content, and our templates, methods, and materials are owned by Panorama or our licensors and are protected by intellectual-property laws. You may not copy, modify, distribute, or create derivative works from our materials without our prior written consent. Deliverables prepared specifically for you are yours upon full payment, excluding our underlying tools and know-how.

Our website and services may integrate with or rely on third-party providers, such as authentication, hosting, analytics, and payment processors. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

To the fullest extent permitted by law, our website and services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Panorama and its personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, and our total liability arising out of or relating to the services will not exceed the fees you paid to us for the specific engagement giving rise to the claim.

You agree to indemnify and hold harmless Panorama and its personnel from and against any claims, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the services, or your provision of inaccurate or unlawful information.

These Terms remain in effect while you use our website or services. Either party may terminate an engagement as provided in the applicable engagement letter. We may suspend or terminate your access to the website or portal at any time if you violate these Terms. Provisions that by their nature should survive termination will survive, including confidentiality, intellectual property, disclaimers, limitation of liability, and indemnification.

These Terms are governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Missouri will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services, and you consent to venue in those courts.

We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of our website or services after an update constitutes acceptance of the revised Terms.
